These Terms of Service ("Terms") govern your use of native.vc (the "Site"), operated by Native Ventures ("Native Ventures," "we," "us," or "our"). By using the Site, you agree to these Terms. If you don't agree, please don't use the Site.

Informational purposes only; not an offer

The Site is for informational purposes only. Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security, fund interest, or other investment, in any jurisdiction. Any offering will be made only by means of confidential offering documents, and only in compliance with applicable laws and regulations. Interests in any Native Capital fund are intended to be offered under Rule 506(c) of Regulation D, and investments will be accepted only from accredited investors whose status has been verified as that rule requires. Requesting materials or contacting us through the Site does not make you an investor or create any obligation for either of us.

No investment, legal, or tax advice

Nothing on the Site is investment, legal, tax, accounting, or other professional advice, or a recommendation to buy, sell, or hold any investment. Content on the Site, including articles in the Native Capital thesis, reflects general views and research as of its date and does not take into account your circumstances. Use of the Site does not create an adviser, fiduciary, or client relationship. Consult your own advisers before making any investment decision.

Risk and forward-looking statements

Investing in venture capital and private funds involves substantial risk, including the possible loss of your entire investment, and is suitable only for investors who can bear that risk and the lack of liquidity. Past performance is not indicative of future results. Statements on the Site about strategy, objectives, markets, or expected outcomes are forward-looking, reflect current views, and are subject to risks and uncertainties that could cause actual results to differ materially. We have no obligation to update them.

Accuracy of information

We work to keep the Site accurate and current, but information may be incomplete, out of date, or contain errors. Third-party data and sources cited on the Site are believed reliable but are not independently verified by us. We may change, correct, or remove any content at any time without notice.

Intellectual property

The Site and its content, including text, graphics, logos, the NV monogram, and the names Native Ventures and Native Capital, are owned by or licensed to Native Ventures and are protected by intellectual property laws. You may view, download, and print pages for your personal, non-commercial use. You may use the files in our brand pack to refer accurately to Native Ventures, following the brand guide included with it. Any other use, including copying, modifying, republishing, or implying our endorsement, requires our prior written permission.

Acceptable use

You agree not to use the Site to break the law; to send spam, malicious code, or misleading or unlawful content; to interfere with or try to gain unauthorized access to the Site or its systems; to scrape or collect content or personal information in bulk by automated means; or to impersonate any person or misrepresent an affiliation with Native Ventures.

Messages and submissions

When you send us a message through the Site, you confirm that the information is accurate and that you have the right to share it. Messages are not confidential unless we have agreed otherwise in writing, so please don't send confidential or proprietary information, such as business plans or financial records, through the contact form. We may use ideas or feedback you send us without obligation to you. Our Privacy Policy explains how we handle the personal information in your messages.

Third-party links

The Site links to third-party websites, including sources cited in our articles and tools we write about. We don't receive compensation for these links. We don't control and aren't responsible for their content, products, or practices, and a link is not an endorsement. Your use of third-party sites is at your own risk and governed by their terms.

Disclaimer of warranties

The Site and its content are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We don't warrant that the Site will be uninterrupted, secure, or free of errors or harmful components.

Limitation of liability

To the fullest extent permitted by law, Native Ventures and its partners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or investment, arising from or related to your use of, or inability to use, the Site or its content, even if advised of the possibility of such damages. Our total liability for any claim arising from the Site will not exceed one hundred U.S. dollars. Some jurisdictions don't allow certain limitations, so some of these may not apply to you.

Indemnification

You agree to indemnify and hold harmless Native Ventures and its partners, employees, and agents from any claims, losses, and expenses, including reasonable attorneys' fees, arising from your violation of these Terms or your misuse of the Site.

Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law rules. Any dispute arising from these Terms or the Site will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.

Changes to these Terms

We may update these Terms from time to time. When we do, we'll change the "Last updated" date above. Your continued use of the Site after a change means you accept the updated Terms.

General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These Terms, together with our Privacy Policy, are the entire agreement between you and Native Ventures about the Site, and they don't modify any offering documents or agreements relating to an investment, which control in the event of any conflict.
